1. Agreement to Terms

By accessing or using Palydin ("the Platform"), operated by Palydin Pty Ltd (ABN pending) ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

The Platform is a construction finance and contract management tool designed for use by construction industry professionals and organisations.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent. By creating an account, you represent that you meet these requirements.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Platform
• Interfere with or disrupt the Platform or its infrastructure
• Upload malicious code, viruses, or harmful content
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform to store or transmit content that infringes third-party rights

5. Your Data

You retain ownership of all data you upload to the Platform ("Your Data"). By using the Platform, you grant us a limited licence to process, store, and display Your Data solely to provide the service to you.

We do not sell Your Data to third parties. Our use of Your Data is governed by our Privacy Policy.

6. AI Features

The Platform includes AI-powered features such as document analysis and chat. These features are provided for informational purposes only and do not constitute professional, legal, or financial advice. You are responsible for independently verifying any AI-generated output before relying on it.

7. Subscription and Payment

Access to certain features requires a paid subscription. Fees are billed in advance on a recurring basis. You authorise us to charge your designated payment method for all applicable fees.

We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

8. Intellectual Property

The Platform, including its design, code, features, and documentation, is owned by Palydin Pty Ltd and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Platform is not a substitute for professional quantity surveying, legal, accounting, or financial advice. You are responsible for ensuring that your use of the Platform complies with applicable laws, contracts, and industry standards including the Security of Payment Acts in your jurisdiction.

10. Limitation of Liability

To the maximum extent permitted by law, Palydin Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Platform.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Palydin Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform or violation of these Terms.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access if you breach these Terms or if required by law.

Upon termination, your right to use the Platform ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be deleted.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Continued use after changes take effect constitutes acceptance.
